Client Terms: Tier II and TRI Reporting Services

Last updated: October 9, 2026. These terms apply when you buy Tier II or TRI reporting services from Vertexium Environmental Solutions LLC ("VES", "we"), Aubrey, Texas, compliance@vertexiumenv.com, and the business named at checkout or in the quote ("you").

1. Acceptance

You accept these terms when you tick the terms box and pay at our online checkout, or when you approve a written quote or invoice that refers to them. The person accepting confirms they are authorized to bind the business.

2. What we do (scope)

We prepare EPCRA section 312 (Tier II) hazardous chemical inventory reports and, if ordered, EPCRA section 313 (TRI) Form R or Form A reports, using information you provide, for the facility and reporting year named in your order or quote. Each Tier II order includes a threshold worksheet (Threshold Ledger), the completed report in the system your state or EPA requires, a summary of changes from last year, certify-and-submit instructions, and copies for your LEPC and fire department where required. Where a state lets a preparer enter data on your behalf, we may do so with your written permission.

3. Not included

Site visits, sampling or measurements, permits, engineering certification or stamps, legal advice or representation, responses to inspections or enforcement, state or local filing fees, and work caused by changes to your information after we deliver. Extra facilities, reporting years, chemical forms beyond your order, or more chemicals than your price tier are quoted in writing before we do them.

4. What you do

You provide complete and accurate information (chemical lists, Safety Data Sheets, quantities, storage locations, contacts) by the dates we agree, and you confirm you have the right to share it with us. Your owner/operator or authorized official reviews and certifies the report and submits it (or authorizes submission). Certification and submission are your legal responsibility. You pay any state or local filing fees directly.

5. Prices and payment

Prices are fixed per facility as quoted or as shown on our page. Payment is due before work starts, by card or US bank transfer through Stripe. We do not charge interest or late fees. Orders placed after February 10 carry the posted rush fee. Three or more facilities receive the posted multi-facility discount.

6. Annual Plan, renewal and cancellation

The Annual Plan renews each year on the anniversary of purchase at the price then shown, unless you cancel before the renewal date by emailing compliance@vertexiumenv.com. We email you a reminder at least 14 days before each renewal. If you cancel, the Annual Plan runs to the end of the term you paid for and then does not renew.

7. No refunds; revisions until you are satisfied

Fees are not refundable. If you're not satisfied, we keep revising until you are. If an agency rejects a report because of our error, we fix and refile it free.

8. Deadlines

We deliver within the time agreed in your quote. To meet March 1 (Tier II) or July 1 (TRI), we need your complete information at least 10 business days before the deadline. Business days are Monday through Friday, excluding U.S. federal holidays. We are not responsible for late filing caused by late or incomplete information, by late review or certification, or by agency system outages.

9. Not legal advice; limits

Our work is regulatory reporting support. It is not legal advice and not an engineering certification. We prepare reports from the information you give us and do not independently verify it. Our total liability for any claim relating to a service is limited to the fees you paid for that service. We are not liable for indirect or consequential losses, or for penalties arising from information you provided or from a report that was not certified and submitted on time.

10. Confidentiality and data

We keep your information confidential and use it only to deliver your services. We may use AI and software tools operated under confidentiality terms to process documents; your data is not sold or used for advertising. We keep working files for 3 years after delivery (the EPCRA record-keeping period for TRI), unless you ask us to delete them sooner where the law allows. See our privacy notice.

11. Payment disputes

If something is wrong, email compliance@vertexiumenv.com first; we answer within one business day and work to resolve it. If a payment is disputed with your card issuer or bank for a service we delivered or started, we will provide the processor with these terms, your acceptance at checkout, and our delivery records.

12. Fit

We may decline any engagement. We do not serve facilities whose main business is alcohol, tobacco, pork, or gambling.

13. General

We are an independent contractor, not your employee or agent. We may update these terms for future orders by posting a new version here; the version you accepted applies to your order. These terms are governed by the laws of the State of Texas, and disputes will be handled in the state or federal courts for Denton County, Texas.
